The Team:

We are a talented, supportive and experiencedgroup of Governance professionals, with a fantastic team culture. Our team is arranged as two operational units to deliver PLC Governance and Subsidiary Governance.

The PLC Governance part of the Team provides support in terms of compliance with Company law, FCA requirements, UK Listing Rules, DTRs, MAR, the UK Corporate Governance Code and other regulations. The Team also maintains the relationship with the Company’s Registrar and provides governance advice and administrative support to our Board of Directors and the Board Committees.

The Subsidiary Governance part of the Team provides support to the Group’s legal entities, including its branches, to discharge their statutory and regulatory obligations in the UK. The Team also has oversight and provides guidance to its overseas subsidiaries to ensure the implementation of best-practice corporate governance throughout the Group, being mindful of local laws, regulations and customs.

Your role in the Team:

This role sits within PLC Governance. It’s a key role that will support two of our Board Committees to fulfil their obligations and responsibilities, follow best practices, act as a conduit between the Directors and Executive Management, provide impartial advice to the Directors and act diligently in the Company’s best interests.This role will lead on key PLC deliverables, including drafting the governance section of the Annual Report.

What you will do

  • Support the Group Company Secretary and the Deputy Group Company Secretary in the delivery of Company Secretariat responsibilities for the PLC side of the team.

  • Act as Secretary to the Audit, ESG and Board Standing Committees.

  • Be a People Manager.

  • Act with integrity.​

  • You will be expected to lead on:

  • Annual Report process for Group Secretariat.

  • Year-end and half-year processes, acting as the primary Company Secretariat contact for audit requests.

  • Relationship with the External Auditor and Finance colleagues.

  • Horizon scanning for the latest corporate governance developments and benchmarking against peers.

  • Market Abuse Regulation (MAR) compliance for Company Secretariat and the Insider Track system.

  • Compliance with statutory and regulatory requirements, including continuing obligations.

  • Governance section of the Group website.

  • Oversight of RNS announcements and regulatory filings made by the Company Secretariat Assistant

  • What you'll need:

    Extensive listed company knowledge and experience, including technical expertise in the Listing Rules, UK Corporate Governance Code, Companies Act and MAR.

  • Qualified Company Secretary (at least ACG or equivalent qualification). 

  • At least five years’ UK listed company knowledge and experience, including technical expertise in the UK Listing Rules, UK Corporate Governance Code, UK Companies Act and Market Abuse Regulation.

  • A minimum of years’ people management experience as you will have one direct report.

  • Experienced in Board and Committee Meeting management and administration, particularly effective minute-taking.

  • Proficient in leading year-end processes from a Company Secretariat perspective, including the Annual Report for listed companies. Project management experience would be welcomed but is not critical.

  • Proven track record of developing and maintaining excellent relationships with key executives who provide reports to the Board and Board Committees; and being able to constructively challenge and positively collaborate to achieve the best outcome.

  • Act as a trusted adviser to the Board, including our Non-Executive Directors, on listed company matters.

  • Ability to work with the utmost integrity in a fast-paced, dynamic environment.
