Legal Counsel in Warrington

Greenvolt Power is our segment dedicated to the Development & Construction of utility-scale solar and wind projects. We value local expertise and empower our partners, counting already with business presence in 16 countries (Europe & North America).

Greenvolt Power Group is seeking an independent lawyer to provide comprehensive legal services to all companies within our organization in the UK during a 6 month period . The role requires adherence to established legal standards to safeguard Greenvolt’s reputation and business interests, ensuring compliance with all pertinent laws and regulations. Additionally, this position may involve international support for the organization as needed.

Key accountabilities

1.Corporate matters within Greenvolt Power UK limited and any of its affiliates related to UK:

• Drafting of minutes of general assemblies of management board and shareholders, decisions and resolutions of the company’s bodies;
• Maintaining book of minutes of the management board;
• Keeping all the public registers for all the companies up to date, including the court registry and the ultimate beneficial owners’ registry;
• Supervising and coordinating the day-to-day administration of all companies within the Greenvolt Power in UK, i.e.: maintaining up to date internal registers, ledgers and graphic charts of members of management boards and shareholders;
• Taking care of the correspondence to and from the companies;
• Taking care of any additional matters related to legal assistance to the companies.

2.Commercial Matters:

• Providing legal opinions or preparation of any necessary commercial contracts for all the companies within Greenvolt Power in UK related to development of renewable energy projects (Wind, Solar, BEES), including among others real state matters, development matters, procurement matters, etc;

3.Contacting public administration, if required.

4.Coordinating all legal due diligence processes carried out by the companies within the Greenvolt Power in UK;

5.Monitoring of changes in relevant legislation and the regulatory environment and providing in advance appropriate advice on them;

6.Developing and applying necessary systems that ensure the companies comply with all applicable legal and statutory requirements; as well as implementing of all the Group internal procedures, policies and practices.

7.International matters: providing support to the rest of the organization on the on-going renewable energy matters, procurement, coordination, etc.

Qualifications

• Master’s degree in law with lawyer / legal adviser apprenticeship finalized.
• Minimum 2 years of experience working as a lawyer for corporate service of legal entities, as well as commercial contracts ideally in multinational company or law office
• Very good knowledge of corporate and transactional law
• Good knowledge of energy and administrative law regulations
• Experience in drafting and reviewing legal documents
• Experience in interpreting legislation into practical application
• Good interpersonal, communication, public speaking and negotiation skills
• Ability to work under pressure and meet deadlines
• Ability to travel, if needed
• Good time management skills and ability to organize, multitask, prioritize
• Natural leader who displays sound judgment and attention to detail
